1. Acceptance of Terms

By accessing or using GrowStack's website, services, or any of our Shopify applications (including but not limited to CostSync), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, users, and others who access or use our services. By using our services, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Services

GrowStack is a Shopify app development studio that creates focused, well-designed applications for e-commerce merchants. Our services include:

• CostSync - A cost tracking and profit dashboard application that helps Shopify merchants track product costs, analyze profit margins, and make data-driven business decisions.
• Future Applications - Additional Shopify applications that may be released and subject to these Terms or supplementary terms.
• Support Services - Customer support, documentation, and resources related to our applications.

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice.

3. Shopify Platform Dependency

Our applications are built on and integrate with the Shopify platform. By using our services, you acknowledge and agree that:

• Our services depend on Shopify's platform availability, APIs, and functionality. We are not responsible for any service interruptions, limitations, or changes caused by Shopify.
• You must maintain an active Shopify store and comply with Shopify's Terms of Service, API Terms, and all applicable merchant agreements.
• Changes to Shopify's platform, policies, or APIs may affect the functionality or availability of our applications.
• GrowStack is an independent company and is not affiliated with, endorsed by, or sponsored by Shopify Inc.

4. User Accounts and Responsibilities

When using our services, you agree to:

• Provide accurate, current, and complete information during registration and keep your account information updated.
• Maintain the security of your account credentials and not share them with third parties.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized access or security breach.
• Use our services only for lawful purposes and in compliance with all applicable laws and regulations.
• Comply with Shopify's Terms of Service and applicable merchant agreements.

No Exclusivity

Nothing in these Terms creates an exclusive relationship between you and GrowStack. You are free to use similar services, applications, or solutions from other providers, and we may provide similar services to other merchants.

No Competitive Restrictions

Nothing in these Terms restricts your ability to develop, use, distribute, or promote products, services, or applications that compete with ours. You retain full freedom to operate your business as you see fit.

Prohibited Activities

You agree not to:

• Use our services to transmit harmful, malicious, or illegal content.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Interfere with or disrupt the integrity or performance of our services.
• Reverse engineer, decompile, or attempt to extract the source code of our applications.
• Use automated systems or software to extract data from our services without permission.
• Resell, sublicense, or commercially exploit our services without authorization.

5. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, software, and code, are the exclusive property of GrowStack and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use our services for their intended purpose. This license does not include the right to:

• Modify or create derivative works based on our services.
• Use any data mining, robots, or similar data gathering methods.
• Download or copy any portion of our services except as expressly permitted.
• Use the GrowStack name, logo, or trademarks without prior written consent.

Your Data Ownership

You retain all ownership rights to your store data, including product information, order data, customer data, and any other data you provide to us through our services ("Merchant Data"). By using our services, you grant us a limited, non-exclusive license to access, process, and store your Merchant Data solely for the purpose of providing our services to you. We will not use your Merchant Data for any other purpose without your explicit consent.

6. Payment and Billing

Some of our services require payment of fees. By subscribing to a paid service, you agree to:

• Pay all applicable fees as described at the time of purchase.
• Provide accurate billing information and authorize us to charge your designated payment method.
• Accept that fees are billed in advance on a recurring basis unless otherwise specified.
• Understand that certain fees may be non-refundable as specified in our refund policy.

We reserve the right to change our pricing at any time. Any price changes will be communicated in advance and will take effect at your next billing cycle.

7. Limitation of Liability

To the maximum extent permitted by applicable law, GrowStack and its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, data, use, goodwill, or other intangible losses.
• Any unauthorized access to or use of our servers and/or personal information stored therein.
• Any interruption or cessation of transmission to or from our services.
• Any bugs, viruses, or similar harmful code that may be transmitted through our services.
• Any errors or omissions in any content or for any loss or damage incurred as a result of using our services.

In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

Our services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose.
• Warranties that our services will be uninterrupted, secure, or error-free.
• Warranties regarding the accuracy or reliability of any information obtained through our services.

We do not guarantee that our services will meet your specific requirements or achieve any particular results for your business.

9. Indemnification

You agree to indemnify, defend, and hold harmless GrowStack and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms.
• Your use of our services.
• Your violation of any rights of a third party.
• Any content you submit or transmit through our services.

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms.
• Non-payment of applicable fees.
• Conduct that we believe is harmful to other users or our services.
• At our sole discretion for any other reason.

Upon termination, your right to use our services will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by discontinuing use of our services and uninstalling any applications from your Shopify store.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our services shall first be attempted to be resolved through good faith negotiations. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to the courts of competent jurisdiction in Thailand.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice through our services or by other means, such as email.

Your continued use of our services after any changes to these Terms constitutes acceptance of the new Terms. We encourage you to review these Terms periodically for any updates.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and GrowStack regarding your use of our services and supersede all prior agreements and understandings.
